Mr. McGovern is a citizen of United States, previously holding the role of the Member of Managing Director and CEO of AmRest Holdings SE co-founder of the Company. Since 1995 has served as President, initially of American Retail System (ARS) and, from 1999, of AmRest. Between 1993 and 1995, Mr. McGovern was a board member of ARS and President of American Retail Services, the real estate operator. Prior to that Mr. McGovern was President and Founder of Metropolitan Properties, a residential and commercial real estate company, and Student Housing Association, Inc, specializing in off-campus student housing for University students. Mr. Kendall Sr. is a citizen of United States, co-founder of PepsiCo Inc. and was its Chief Executive Officer for 21 years before his retirement in May 1986. Mr. Kendall Jr. is currently President of High Country Passage, LP, a travel services company based in San Francisco, California. Until 2000, Mr Kendall was Chairman of the Board, President and Chief Executive Officer of more.com, a company which he co-founded in 1997. More.com was a leading online health, beauty and wellness superstore and was acquired by HealthCentral.com, a publicly traded internet content provider and retailer in October 2000. Before founding more.com, Mr Kendall was, for a short period, a strategy consultant to Firefly, a privately held provider of internet-based software tools for personalisation. In 1993, Mr Kendall co-founded ARS and, between 1993 and 1996, he was President and Chief Operating Officer of ARS, see ‘‘The Company — History’’. Prior to co-founding ARS, Mr Kendall worked as a consultant with McKinsey & Company in New York. Mr Kendall is a Member of the Boards of Directors of Hotwire (an internet travel business) and JustGive.org (an internet philanthropy portal). Mr. Schmidt is a citizen of Poland, a managing partner with Trigon, a Polish merchant banking firm, a position he has held since October 2001. During 2000 he was a Director of CentralEuropa.com LLC. Before that he was Senior Vice President of Business Development and General Counsel of @Entertainment, Inc in Hartford Connecticut (1997 to 2000) and President of Wizja TV. (1997 to 2000); Country Director of MeesPierson EurAmerica, a member of the ABN AMRO group, (1995 to 1997), a senior associate at the law firm Soltysinski, Kawecki & Szlezak (1992 to 1995) and a Lecturer at the School of Law, Adam Mickiewicz University in Poznan (1988 to 1992). Mr Schmidt has also held a number of other directorships and, among others, he is currently Vice Chairman of the Board of United Way Poland and a Chairman of European Board of the Young Presidents’ Organization. Mr. Sykora is a citizen of Czech Republic, Chairman of the Board of Directors of Wood & Company Financial Services, leading Central European fully integrated investment bank. Before joining Wood & Company, Mr Sykora was a business consultant with Ameritech International in 1994 when he advised in relation to the first phase of the bidding process for SPT Telecom. Between 1991 and 1993, Mr Sykora worked part-time as an assistant to the Director of the Anglo-American Business Institute, Inc. During the same period he also acted as a tourist service consultant and started his own business to advise travel companies. Mr Sykora is serves as the Chairman of its Trading Committee of Prague Stock Exchange, , a Director of Autoguide Group, a Member of the Young President’s Association.. Mr Sykora gained a bachelor of business administration degree from the Prague University of Economics, a master of business administration from the Rochester Institute of Technology (Prague Campus) and a master of economics degree from the Czech Ministry of Education. Mr. Sykora is 37 years old.
Mr. Tseytin is a citizen of United States, shareholder of AmRest Holdings N.V. currently holding 632.116 shares of the company. Mr. Tseytin is also a controlling shareholder of a group of companies operating Ford dealership in Russia. Since 1994 Mr. Tseytin has been involved in developing franchised restaurant business in Russia. He was majority shareholder of Pizza Nord LLC, a Russian operator of KFC and Pizza Hut restaurants in St. Petersburg and Moscow. In 2007 Pizza Nord has been acquired through indirect merger by AmRest Holdings N.V. Mr. Tseytin is 45 years old.
